This Agreement is entered into this      day of___________ 20____, between Sports Express, LLC and ____________________________(hereinafter “Customer”)

RECITALS:

Sports Express, LLC provides a high-priority sports equipment and luggage delivery service through various shippers, which require upon delivery obtaining a signature evidencing package receipt.

However, Customer authorizes delivery of its packages to certain designated places without obtaining a signature by Sports Express, LLC or it’s shipping partners.

Therefore, for and in consideration of the mutual covenants contained herein, the parties hereto agree as follows:

A.                 Pursuant to Sports Express, LLC issuance and use of the below listed Release Number, Items from Customer may be released upon Sports Express, LLC delivery to the place designated by delivery order without obtaining a signature, provided the Customer has agreed to the terms for Release Delivery Authorization and Indemnification Agreement, or enters the release number in the Release Delivery Authorization field. Sports Express, LLC will not release a package if Customer has not so agreed or entered their release number.

B.                 The furnishing by Sports Express of a delivery receipt upon which is listed the designated place of delivery and upon which is entered the Customer’s listed release number shall constitute proof of delivery in accordance with Customer's instructions.

C.                Upon the furnishing of such proof of delivery, Customer shall indemnify Sports Express, LLC and it’s shipping partners against and hold it harmless from all claims for liability, including any expenses related thereto, and further including any attorney's fees or other litigation costs, arising by reason of loss or damage to any shipments handled by Sports Express, LLC under the terms of this Agreement.

D.                Customer hereby agrees to hold Sports Express, LLC and its shipping partners harmless and to indemnify Sports Express, LLC and its shipping partners from any loss caused by its release under the release number agreement which violates any one of the advance release authorization restrictions.

E.                 Customer hereby agrees to hold Sports Express, LLC and its shipping partners harmless and to indemnify Sports Express, LLC and its shipping partners from any loss caused by its release under an existing release agreement for a location on file with Sports Express, LLC or its shipping partners.

F.                 Sports Express, LLC and its shipping partners will make every effort to honor signature release requests. However, Sports Express, LLC and its shipping partners reserve the right to require signature upon delivery.

G.                Any failure by Sports Express, LLC to enforce or apply a term, condition or provision of this Agreement, does not constitute a waiver of that term, condition or provision and does not otherwise impair Sports Express, LLC's right to enforce such term, condition or provision.
